Table42 Terms of Service

1. Acceptance of Terms

Welcome to Table42. By accessing or using the Table42 platform (the "Service"), including our website, mobile applications, and any related services, you agree to be bound by these Terms of Service ("Terms"). If you do not agree to these Terms, you may not access or use the Service.

These Terms constitute a legally binding agreement between you and Table42, Inc. ("Table42", "we", "us", or "our"). By creating an account, you represent that you are at least 18 years old and have the legal capacity to enter into these Terms.

2. Description of Service

Table42 is a platform that enables community curators to create, manage, and monetize in-person communities and events. The Service facilitates connections between members through curated events, matching algorithms, and community features.

2.1 Platform Features

The Service includes:

  • Community creation and management tools for curators
  • Event creation, discovery, and registration
  • Member profiles and matching systems
  • Payment processing and revenue distribution
  • Communication tools between members
  • Analytics and reporting features

2.2 User Roles

Table42 supports multiple user roles with different rights and responsibilities:

  • Curators/Space Owners: Create and manage communities (Spaces), configure community settings, and organize events
  • Hosts: Create and host individual events within communities
  • Guests: Participate in events as attendees
  • General Members: Users who join communities in various capacities

3. Account Registration and Security

3.1 Account Creation

To use certain features of the Service, you must create an account by providing accurate, current, and complete information. You agree to:

  • Provide truthful and accurate information during registration
  • Maintain and update your account information
  • Keep your password secure and confidential
  • Notify us immediately of any unauthorized access to your account
  • Accept responsibility for all activities under your account

3.2 Account Eligibility

You must be at least 18 years old to create an account. By creating an account, you represent and warrant that you meet this age requirement and have the legal capacity to enter into these Terms.

3.3 One Account Per Person

You may only maintain one account. Creating multiple accounts may result in suspension or termination of all associated accounts.

3.4 Account Termination

We reserve the right to suspend or terminate your account at any time for violation of these Terms, fraudulent activity, or other conduct we deem harmful to the Service or other users.

4. Community Spaces and Membership

4.1 Joining Communities

Members may join communities (Spaces) created by curators. Each Space may have:

  • Different membership roles (Guest, Host, Curator)
  • Specific rules and guidelines set by the curator
  • Subscription or payment requirements
  • Custom profile requirements

4.2 Space-Specific Terms

When joining a Space, you agree to comply with any additional rules, guidelines, or terms established by the Space curator, provided they do not conflict with these Terms.

4.3 Membership Status

Space curators may approve, deny, or revoke membership at their discretion. You are not guaranteed membership in any particular Space.

4.4 Profile Information

You may be required to provide additional profile information when joining a Space. You agree that all profile information you provide is accurate and truthful.

5. Events

5.1 Event Creation

Depending on Space configuration and your role, you may be able to create events. When creating an event, you agree to:

  • Provide accurate event details (date, time, location, capacity)
  • Honor all event commitments and cancellation policies
  • Comply with all applicable laws and regulations
  • Ensure appropriate venue permissions and capacity limits
  • Not create events for illegal purposes or that violate these Terms

5.2 Event Registration and Attendance

When registering for an event, you agree to:

  • Provide accurate information
  • Honor your commitment to attend
  • Pay all applicable fees
  • Follow event-specific rules and guidelines
  • Respect other attendees and event organizers

5.3 Event Cancellation

By Attendees:

  • Cancellation policies are set by each Space or event
  • Refunds are subject to the cancellation policy in effect at time of booking
  • Late cancellations (typically within 48 hours of event) may be non-refundable
  • Repeated no-shows may result in suspension from the Space or platform

By Hosts/Curators:

  • Event organizers may cancel events due to insufficient attendance, emergencies, or other valid reasons
  • Full refunds will be issued for organizer-cancelled events unless otherwise stated
  • Table42 is not responsible for costs incurred due to event cancellations

5.4 Minimum Attendance Requirements

Spaces may implement minimum attendance thresholds. Events that do not meet minimum attendance 48 hours prior may be automatically cancelled with full refunds issued.

6. Payments and Financial Terms

6.1 Payment Processing

Table42 uses third-party payment processors (including Stripe) to handle all financial transactions. By using the Service, you agree to the terms of our payment processors.

6.2 Event Fees and Subscriptions

For Attendees/Guests:

  • Event fees and subscription prices are set by Space curators
  • All fees are charged in USD unless otherwise specified
  • Payment is required at time of booking or subscription
  • Subscription renewals are automatic unless cancelled

For Hosts:

  • Host subscription fees may apply based on Space configuration
  • Payment is required to maintain hosting privileges
  • Subscriptions auto-renew unless cancelled

6.3 Curator Revenue and Platform Fees

Revenue Split:

  • Curators receive 70% of gross event revenue and subscription fees collected within their Space
  • Table42 retains 30% as a platform fee
  • Revenue splits are calculated before payment processing fees

Payout Terms:

  • Payouts are processed via Stripe Connect
  • Curators must complete identity verification and banking information
  • Payouts are typically processed within 7 business days after event completion
  • Minimum payout threshold: $50
  • Curators are responsible for all applicable taxes on their earnings

6.4 Refund Policy

Standard Refund Policy:

  • Cancellations more than 48 hours before event: Full refund minus processing fees
  • Cancellations within 48 hours: No refund unless Space policy specifies otherwise
  • Organizer cancellations: Full refund
  • No-shows: No refund

Space-Specific Policies: Individual Spaces may implement different refund policies, which will be clearly displayed at time of booking.

6.5 Disputes and Chargebacks

If you dispute a charge or initiate a chargeback without first contacting us to resolve the issue, we reserve the right to suspend your account pending resolution. Repeated chargebacks may result in permanent account termination.

6.6 Taxes

You are responsible for all applicable taxes associated with your use of the Service. Curators are responsible for reporting and paying all taxes on their earnings.

7. Invitations and Discovery

7.1 Invitation System

Depending on Space configuration, the Service may support various invitation mechanisms:

  • Curator invitations to join Spaces
  • Host invitations to guests for events
  • Guest requests to join host events
  • Algorithmic matching and group assignments

7.2 Invitation Etiquette

When sending invitations or requests, you agree to:

  • Not spam or send unsolicited bulk invitations
  • Include genuine, personalized messages when appropriate
  • Respect declined invitations
  • Not harass users who decline invitations

7.3 Shadow Profiles

Curators may import contact information to create "shadow profiles" for invitation purposes. Imported contacts who have not created accounts are not users and are not bound by these Terms until they create an account.

8. Content and Conduct

8.1 User Content

You retain ownership of content you post on the Service (photos, bios, messages, etc.). By posting content, you grant Table42 a worldwide, non-exclusive, royalty-free license to use, display, reproduce, and distribute your content in connection with operating and promoting the Service.

8.2 Content Standards

You agree not to post content that:

  • Is illegal, fraudulent, or violates any law
  • Infringes on intellectual property rights
  • Contains hate speech, harassment, or discrimination
  • Is sexually explicit or pornographic
  • Promotes violence or illegal activities
  • Contains spam or commercial solicitations
  • Impersonates another person or entity
  • Contains malware or harmful code

8.3 Prohibited Conduct

You agree not to:

  • Violate any applicable laws or regulations
  • Harass, abuse, threaten, or discriminate against other users
  • Use the Service for commercial purposes not authorized by these Terms
  • Interfere with or disrupt the Service or servers
  • Attempt to gain unauthorized access to the Service or user accounts
  • Use automated systems (bots, scrapers) to access the Service
  • Collect user information without consent
  • Create multiple accounts or share accounts
  • Organize events for illegal purposes
  • Engage in fraudulent payment activity

8.4 Event Safety and Conduct

When attending events, you agree to:

  • Respect other attendees and event hosts
  • Follow all event-specific rules and guidelines
  • Comply with venue policies and regulations
  • Not engage in illegal activities at events
  • Respect personal boundaries and consent
  • Consume alcohol responsibly if applicable
  • Report safety concerns to event organizers and Table42

8.5 Moderation and Enforcement

We reserve the right to:

  • Remove content that violates these Terms
  • Suspend or terminate accounts for violations
  • Investigate reports of misconduct
  • Cooperate with law enforcement as required
  • Take any action we deem necessary to protect the Service and users

9. Matching and Algorithms

9.1 Algorithmic Matching

Some Spaces use algorithmic matching to create event groups. By participating in algorithmic matching, you acknowledge that:

  • Matching is based on profile information and preferences
  • Matches are not guaranteed to be compatible
  • You may be grouped with users you haven't specifically selected
  • Match quality depends on accuracy of your profile information

9.2 No Guarantees

We do not guarantee specific matching outcomes, event quality, or relationship results. Matching algorithms are provided on an "as is" basis.

10. Privacy and Data Protection

10.1 Privacy Policy

Your use of the Service is also governed by our Privacy Policy, which is incorporated into these Terms by reference. Please review our Privacy Policy to understand how we collect, use, and share your information.

10.2 Data Sharing Within Spaces

When you join a Space, certain profile information may be visible to other members and the Space curator based on Space configuration and your privacy settings.

10.3 Communication

By creating an account, you consent to receive:

  • Transactional emails (booking confirmations, receipts)
  • Event notifications and updates
  • Messages from other users through the Service
  • Service announcements and updates
  • Marketing communications (which you may opt out of)

11. Intellectual Property

11.1 Table42 Intellectual Property

The Service, including all content, features, functionality, design, and branding, is owned by Table42 and is protected by copyright, trademark, and other intellectual property laws.

11.2 Limited License

We grant you a limited, non-exclusive, non-transferable license to access and use the Service for personal, non-commercial purposes in accordance with these Terms.

11.3 Restrictions

You may not:

  • Copy, modify, or create derivative works of the Service
  • Reverse engineer or decompile any aspect of the Service
  • Remove proprietary notices or labels
  • Use Table42 trademarks without permission
  • Frame or mirror any portion of the Service

11.4 Feedback

If you provide feedback or suggestions about the Service, we may use that feedback without any obligation to you.

12. Third-Party Services

12.1 Third-Party Links

The Service may contain links to third-party websites, services, or resources. We are not responsible for the content, policies, or practices of third parties.

12.2 Payment Processing

Payment processing is provided by third-party providers (Stripe, etc.). Your use of payment services is subject to the provider's terms and conditions.

12.3 Integration Services

We may integrate with third-party services (LinkedIn, Instagram, etc.) to enhance functionality. Your use of these integrations is subject to the third party's terms.

13. Disclaimers and Limitations of Liability

13.1 Service "As Is"

THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, OR NON-INFRINGEMENT.

13.2 No Warranty of Results

WE DO NOT WARRANT THAT:

  • The Service will meet your requirements or expectations
  • The Service will be uninterrupted, secure, or error-free
  • Results from using the Service will be accurate or reliable
  • Any users you meet through the Service will be compatible or trustworthy
  • Events organized through the Service will meet your expectations

13.3 User Interactions

YOU ARE SOLELY RESPONSIBLE FOR YOUR INTERACTIONS WITH OTHER USERS. WE DO NOT CONDUCT BACKGROUND CHECKS ON USERS. WE MAKE NO REPRESENTATIONS OR WARRANTIES REGARDING USER CONDUCT, SAFETY AT EVENTS, OR THE QUALITY OF USER EXPERIENCES.

13.4 Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, TABLE42 AND ITS OFFICERS, DIRECTORS, EMPLOYEES, AGENTS, AND AFFILIATES SHALL NOT BE LIABLE FOR:

  • Any indirect, incidental, special, consequential, or punitive damages
  • Loss of profits, revenue, data, or business opportunities
  • Personal injury or property damage arising from your use of the Service
  • Any damages arising from interactions with other users
  • Any events organized through the Service
  • Unauthorized access to or alteration of your content or data

OUR TOTAL LIABILITY FOR ANY CLAIMS ARISING FROM OR RELATED TO THE SERVICE SHALL NOT EXCEED THE GREATER OF (A) $100 OR (B) THE AMOUNT YOU PAID TO TABLE42 IN THE 12 MONTHS PRECEDING THE CLAIM.

13.5 Events and Venues

TABLE42 IS NOT RESPONSIBLE FOR:

  • The quality, safety, or legality of events
  • The actions of event hosts or attendees
  • Venue policies, safety, or conditions
  • Food safety, alcohol service, or allergen information
  • Transportation to or from events
  • Any incidents occurring at events

14. Indemnification

You agree to indemnify, defend, and hold harmless Table42 and its officers, directors, employees, agents, and affiliates from and against any claims, liabilities, damages, losses, costs, or expenses (including reasonable attorneys' fees) arising from or related to:

  • Your use of the Service
  • Your violation of these Terms
  • Your violation of any rights of another user or third party
  • Your conduct at events
  • Events you organize or host
  • Content you post or share
  • Your breach of any applicable laws or regulations

15. Dispute Resolution

15.1 Informal Resolution

Before filing a claim, you agree to contact us at legal@table42.com to attempt to resolve the dispute informally. We will attempt to resolve disputes through informal negotiation within 60 days.

15.2 Binding Arbitration

If informal resolution fails, you agree that any dispute arising from or relating to these Terms or the Service will be resolved through binding arbitration administered by the American Arbitration Association (AAA) under its Consumer Arbitration Rules.

Arbitration Terms:

  • Arbitration will be conducted individually, not as a class action
  • Arbitration will take place in San Francisco, California (or your location if required by law)
  • Each party will bear their own costs
  • The arbitrator's decision will be final and binding

15.3 Exceptions to Arbitration

Either party may bring a claim in small claims court if it qualifies. Additionally, either party may seek injunctive relief in court for intellectual property infringement or unauthorized access to the Service.

15.4 Class Action Waiver

YOU AGREE THAT ANY DISPUTE RESOLUTION PROCEEDINGS WILL BE CONDUCTED ONLY ON AN INDIVIDUAL BASIS AND NOT IN A CLASS, CONSOLIDATED, OR REPRESENTATIVE ACTION.

15.5 Governing Law

These Terms are governed by the laws of the State of California, without regard to conflict of law principles. Any court proceedings (for matters not subject to arbitration) must be brought in the state or federal courts located in San Francisco, California.

16. Modifications to Terms

We reserve the right to modify these Terms at any time. We will notify users of material changes via email or prominent notice on the Service at least 30 days before changes take effect.

Your continued use of the Service after changes take effect constitutes acceptance of the modified Terms. If you do not agree to the modified Terms, you must discontinue use of the Service.

17. Termination

17.1 Termination by You

You may terminate your account at any time by contacting us at support@table42.com or using account deletion features in the Service. Upon termination:

  • Your access to the Service will cease
  • Your profile will be deleted or anonymized
  • Outstanding financial obligations remain due
  • No refunds will be issued for unused subscription time

17.2 Termination by Us

We may suspend or terminate your account immediately without notice if:

  • You violate these Terms
  • You engage in fraudulent or illegal activity
  • You pose a safety risk to other users
  • We are required to do so by law
  • We decide to discontinue the Service

17.3 Effect of Termination

Upon termination:

  • All licenses granted to you cease
  • You must cease all use of the Service
  • We may delete your content and data
  • Sections of these Terms that by nature should survive will survive

18. General Provisions

18.1 Entire Agreement

These Terms, together with our Privacy Policy and any additional terms specific to certain features, constitute the entire agreement between you and Table42 regarding the Service.

18.2 Severability

If any provision of these Terms is found to be unenforceable, the remaining provisions will remain in full effect, and an enforceable provision that most closely matches the intent of the unenforceable provision will be substituted.

18.3 No Waiver

Our failure to enforce any provision of these Terms does not constitute a waiver of that provision or any other provision.

18.4 Assignment

You may not assign or transfer these Terms or your account without our written consent. We may assign these Terms to any affiliate or successor without restriction.

18.5 Force Majeure

We are not liable for any failure or delay in performing our obligations due to circumstances beyond our reasonable control, including natural disasters, war, terrorism, pandemics, or government actions.

18.6 Headings

Section headings are for convenience only and do not affect interpretation of these Terms.

18.7 Language

These Terms are written in English. Any translations are provided for convenience only. In case of conflict, the English version controls.

20. Special Provisions for Specific Regions

20.1 European Union Users

If you are a California resident, you have specific rights under the California Consumer Privacy Act (CCPA). See our Privacy Policy for details. Additionally, California Civil Code Section 1789.3 requires us to provide California users with the following information: To file a complaint regarding the Service or to receive further information, contact the Complaint Assistance Unit of the Division of Consumer Services of the California Department of Consumer Affairs.

By creating an account or using the Service, you acknowledge that you have read, understood, and agree to be bound by these Terms of Service.
